<br />WITNESSETH
<br />W I I II' IZ F A's, ill 1995, the County purchased radio equipment and software from Ericson, Inc.
<br />to he u�cd tO communicate with County personnel across the County; and
<br />W1111:1ZI?AS, as hart of the purchase, Ericson agreed to provide software updates to the
<br />('aunty 161- the tirsl livc years at no cost, and each year after at an annual cost of $74,000.00; and
<br />\VI I FR F. VS, M/A-COM, Inc. acquired certain of the land mobile radio assets of Ericson,
<br />Inc. ,ffld conlinucd 10 supply software updates for the County. The agreement between the

<br />uhdates. Communications lnternational, visits Indian River County to provide needed software
<br />uhd.i1cs so older c(plihmcnt will continue to function in concert with newer equipment; and
<br />\V 11 F; R F A S, the County recently solicited public bids for this work and received only one
<br />response, Ih[it ficin" from M/A-COM; and
<br />\V I 111, R Ii' : kS, CIS a result of their years of experience with the County, M/A-COM has offered
<br />to amcn(l its; cxislin�) as,recment with the County and offer the same terms, rate and conditions as are
<br />cont;,incd in the ,iLlrccmcnt dated December 19, 1995, which is attached as Exhibit "A" and
<br />incarpar:itcd hV rcliT(-,ncc herein; and
