with any person, firm or corporation in which a Director is the person, or in which a Director owns <br /> or controls an interest in the amount of ten ( 10%) percent or more, directly or indirectly of the firm <br /> or corporation. Any Director who has an interest with any person, firm or corporation in which the <br /> Director is the person, or in which the Director owns or controls an interest in the amount of ten <br /> ( 10%) percent or more , directly or indirectly of the firm corporation, shall disclose such an interest, <br /> in writing, to the Board of Directors . <br /> ARTICLE 8 <br /> COMMITTEES <br /> Section 1 . Standing Committees . The Board of Directors shall establish the following <br /> Standing Committees : <br /> A . An Executive Committee ; <br /> B . A Personnel Committee ; and <br /> C . A Finance Committee . <br /> Section 2 . Other Committees . The Board of Directors may establish such other <br /> committees as the Board deems in the best interest of the Corporation, and assign to those <br /> committees such duties , responsibilities and powers as the Directors deem appropriate for the proper <br /> performance of the committees ' functions . <br /> Section 3 . Membership . Except as otherwise provided in these Bylaws, the President <br /> and the Executive Director of the Corporation, and the Vicar of Social Services , shall be ex officio <br /> nonvoting Member(s) of all Standing Committees, and each Standing Committee shall include at <br /> least three (3 ) additional Directors . Except where otherwise provided in this Article, additional <br /> Member(s) , including persons who are not on the Board of Directors , may be appointed. The <br /> Chairman of each Standing Committee and a majority of its Member(s) shall be Directors . <br /> Section 4 . Term of Office . All committee members who are also Directors or Officers <br /> of the Corporation serve at the pleasure of the Member(s) of the - Corporation and may be replaced <br /> or removed at any time, with or without cause . Any member of a committee who is also a Director <br /> or Officer of the Corporation may resign therefrom at any time by giving written notice of his <br /> resignation as provided in Article 6, Section 6 , of these Bylaws . All committee Member(s) who are <br /> not Directors or Officers of the Corporation serve at the pleasure of the Board of Directors and may <br /> be replaced or removed at any time, with or without cause . Any committee member who is not a <br /> Director or Officer of the Corporation may resign at any time by giving written notice to the <br /> Chairman or the Secretary of the Committee , and, unless specified herein, the acceptance of such <br /> resignation shall not be necessary to be effective . A majority of the Directors may vote to remove <br /> a Director or Officer from a Committee, if such Director or Officer has three or more unexcused <br /> absences from any Committee meeting or if such Director of Officer otherwise fails to carry out <br /> - 8 - <br />
