(6) The right to require prior express written approval of any lease , sale or encumbrance of corporate property; and (7) The right to require prior express written approval of any proposed merger or dissolution of the Corporation. ARTICLE 18 AUXILIARY AND ASSOCIATED ORGANIZATIONS The Member(s) may authorize the formation of auxiliary and associated organizations to assist in the fulfillment of the purposes of the corporation . Each organization shall establish its constitution and bylaws , and make amendments thereto , which shall be subjected to the approval of the Board of Directors, which shall not be inconsistent with these Bylaws or the Articles of Incorporation of the Corporation, or any resolutions adopted by the Board of the Corporation. ARTICLE 19 REGIONAL ADVISORY BOARDS The Board of Directors may authorize the formation of advisory regional boards to assist in the fulfillment of the purposes of the Corporation. Regional Boards shall be governed by the Articles and the Bylaws of this Corporation . The Directors may, at any time , discontinue any of its advisory regional boards for such time as the Directors shall determine . ARTICLE 20 MISCELLANEOUS Sectionl . Fiscal Year. The fiscal year of the Corporation shall be the fiscal year as may be designated from time to time by the Directors . Section 2 . Seal . The Corporation shall adopt a seal capable of making a circular impression on bond paper, which impression shall contain within the circle the name of the Corporation and the year of its establishment. Section 3 . Vote by Presiding Officer. The person acting as presiding officer at a meeting held pursuant to these Bylaws shall , if a voting member thereof, be entitled to vote on the same basis as if not acting as a presiding officer. Section 4 . Articles and Other Headines The articles and other headings contained in these Bylaws are for reference purposes only and shall not affect the meaning and interpretation of these Bylaws . Section 5 , Audit. There shall be an audit conducted annually by a certified public accountant. - 18 .
