FIRST AMENDMENT <br /> To the Amended and Restated Bylaws of <br /> Catholic Charities of the Diocese of Palm Beach, Inc. , <br /> dated February 1 , 2003 , <br /> The Member, acting pursuant to Article 21 of the Bylaws , hereby adopts the following <br /> amendments to the Bylaws ; <br /> 1 . Effective February 18 , 2003 , Article 8 , COMMITTEES , Section 1 , shall be amended to read <br /> as follows : <br /> Section 1 . Standing Committees . The Board of Directors shall establish the following <br /> Standing Committees . <br /> A . An Executive Committee ; <br /> B . A Personnel Committee , <br /> C . A Finance Committee ; and <br /> D . A Nominating Committee, <br /> 2 . Effective February 18 , 2003 , Article 8 , COMMITTEES , Section 8 , shall be amended by <br /> adding the following paragraph to the end thereof: <br /> D . Nominating Committe . The Nominating Committee shall have a minimum of three <br /> (3 ) members . The duty of this committee is to present a recommended slate of <br /> officers to the Board of Directors as well as directorial candidates to the Member(s) <br /> for consideration . Such candidates shall be representative of the community in <br /> accordance with the requirements/qualifications set forth in Article 6 , Section 3 <br /> above . The Nominating Committee will also make recommendations to the <br /> Member(s) as to the renewal of terms for the members of the Board of Directors . <br /> The Member(s) is not bound to any candidate list submitted by the Nominating <br /> Committee and may depart from it as the Member(s) sees fit.
