SECOND AMENDMENT TO AGREEMENT j <br /> This Second Amendment to INDIAN RIVER COUNTY BEACH RESTORATION <br /> PWJECT FOR SECTORS 1 & 2 (AMBERSAND BEACH) AND SECTOR 7 IRC Bid No, <br /> 2006047 PROJECT No , 0502 Agreement ("Second Amendment") is entered into and <br /> effective ,on 23 October, 2007 by and between Indian River County, a political subdivision <br /> of the ' State of Florida, 1801 27m Street, Vero Beach, FL 32960 ("County") and Great <br /> Lakes Dredge and Doric Co. , LLC, a limited liability company, having a principal place of <br /> business at 2122 York Road, Oak Brook IL 60523 ("Contractor"). <br /> BACKGROUND RECITALS <br /> A. Effective March 4, 2006 , the County and the Contractor entered into the INDIAN <br /> RIVER COUNTY BEACH RESTORATION PROJECT FOR SECTORS 1 & 2 <br /> (AMBERSAND BEACH) AND SECTOR 7 IRC Bid No. 2006047 PROJECT No. 0502 <br /> AGREEMENT ("Agreement"). The Agreement was entered into pursuant to a duly <br /> advertised public competitive bid process for the project work of placement of 363,000 <br /> cubic yards in Sector 7 prior to May 1 , 2007, and in addition, placement of 290,000 cubic <br /> yards in Sectors 1 and 2 prior to May 12 2007 ("Project"), all as more specifically set forth in <br /> the Contract Documents Issued by the County for the Project. <br /> B. Thereafter, the applicable permits for the Project were issued with design changes, <br /> operating restrictions, and more stringent monitoring conditions than contemplated by the <br /> County and the Contractor. <br /> C. The Agreement was amended by the First Amendment to Agreement, dated April <br /> 10, 2007 and all references to the Agreement herein shall be deemed to be mean the <br /> Agreement as amended by the First Amendment. <br /> D. Pursuant to the terms of Contract Documents, the County and the Contractor desire <br /> further to amend the Contract Documents as set forth in this Second Amendment. <br /> NOW THEREFORE, for good and valuable consideration, the receipt and <br /> sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally I <br /> bound, covenant and agree to amend the Agreement as follows: <br /> 1 . The background recitals are true and correct and form a material part of this <br /> Second Amendment. <br /> 2. From and after the effective date of this . Second Amendment, the Technical and <br /> Environmental Specifications Included in the Contract Documents, are hereby revised as <br /> set forth in Exhibit "A" attached hereto and Incorporated herein by this reference in its <br /> entirety. Accordingly, the parties acknowledge and agree that, from and after the effective <br /> date of this Second Amendment, the Technical and Environmental Specifications <br /> applicable to the balance of the Project shall be those set forth in Exhibit "A." <br /> 3. From and after the effective date of this Second Amendment, the Construction <br /> Plans included In the Contract Documents, are hereby revised as set forth in Exhibit "B" <br /> attached hereto and Incorporated herein by this reference in its entirety.
