AMENDMENT TO ESCROW AGREEMENT <br /> This Amendment to that Escrow Agreement entered into on or about January 30 , 2007 , <br /> by and between Shadowbrook Estates , Inc . , a Florida corporation (" Seller") and Indian River <br /> County, a political subdivision of the State of Florida ("Buyer") , (together, the "Parties ") , is <br /> hereby incorporated and made a part of the Escrow Agreement : <br /> The Parties agree that the following provisions are made a part of the Escrow Agreement , <br /> and to the extent that any conflict exists between the terms and provisions of the <br /> Escrow <br /> Agreement and this Amendment thereto , the terms and provisions of this Amendment shall <br /> govern and prevail : <br /> 1 . Notwithstanding any other terms and provisions of the Escrow Agreement, the <br /> Term of the Escrow shall be extended for two (2) years from the Effective Date of <br /> this Amendment . Any funds remaining in the Escrow after that time shall be <br /> delivered to Seller. Seller shall be responsible for any post-remediation <br /> monitoring required by DEP for up to two (2 ) years from the Effective Date of <br /> this Amendment . Seller shall not be responsible for required post-remediation <br /> monitoring after two (2 ) years from the Effective Date of this Amendment . The <br /> Effective Date of this Amendment shall be the date the second Party executes this <br /> Amendment . <br /> 2 . Except as modified herein the Escrow Agreement remains in full force and effect . <br /> 3 . This Amendment may be executed in counter parts , and the counter parts together <br /> shall constitute the single agreement of the Parties .
