�� S 4 <br /> � aD9- fag <br /> PROFESSIONAL SERVICES AGREEMENT <br /> BETWEEN <br /> DONADIO & ASSOCIATES , ARCHITECTS , P . A . <br /> AND <br /> INDIAN RIVER COUNTY BOARD OF COUNTY COMMSSIONERS <br /> THIS PROFESSIONAL SERVICES AGREEMENT ( "Agreement" or " Contract" ) is entered into as of <br /> this 1st day of September, 2009 , between Indian River County Board of County Commissioners <br /> ( hereinafter referred to as the " County" ) and Donadio & Associates , Architects , P . A . , ( hereinafter <br /> referred to as the " Consultant" ) . <br /> BACKGROUND RECITALS <br /> A . In accordance with the Consultants ' Competitive Negotiations Act , Section 287 . 055 , Florida <br /> Statutes , the County issued a Request for Proposals for architectural consulting services <br /> consisting of a spatial needs analysis ; a master plan ; and design of and evidence storage <br /> facility for the Indian River County Sheriffs Office . <br /> B . Pursuant to the Request for Proposals , the County ' s duly- constituted Consultant Selection <br /> Committee received proposals and ranked the firms that responded to the Request for <br /> Proposals based on the evaluative criteria set forth in the Request for Proposals . <br /> C . The Consultant was the highest ranked respondent to the Request for Proposals and on <br /> June 16 , 2009 , the County approved the Consultant Selection Committee recommendation <br /> to hire Consultant to provide the architectural consulting services set forth in the Request <br /> for Proposals and this Agreement . <br /> D . Consultant is willing and able to perform the services for the County as set forth in <br /> this <br /> Agreement on the terms and conditions set forth below . <br /> NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of which is <br /> hereby acknowledged , and intending to be legally bound hereby , the parties hereto do mutually <br /> agree as follows : <br /> ARTICLE 1 : ENGAGEMENT OF THE CONSULTANT <br /> The County hereby agrees to engage the Consultant and the Consultant agrees to furnish and <br /> deliver all services and products herein set forth in Attachment A " Scope of Work " attached hereto <br /> and incorporated herein by this reference in its entirety ( " Services " ) . . <br /> ARTICLE 2 : SCOPE OF SERVICES ; ADDITIONAL SERVICES <br /> A : The Consultant shall do , perform , and carry out in a satisfactory professional and proper <br /> manner as determined and approved by the County the services as specified in Attachment A . . <br /> The Consultant and the County acknowledge and agree that the spatial needs assessment [ Phase <br /> IA] ; the master planning [ Phase IB] ; and [ Phase ll ] , design services for the evidence storage facility <br /> are the only services authorized under this Agreement . B : The County may , but is not <br /> obligated to , request that the Consultant perform additional services beyond the Scope of Services . <br /> If additional services are requested , the County and Consultant shall agree in writing to the scope <br /> and price of the additional services prior to Consultant performing any additional services .
