PETER' S HUMAN SERVICES, INC . <br /> 4250 38THAVENUE <br /> GIFFORD, FL 32967 <br /> Pursuant to the provisions of section 617. 1006, Florida Statutes, the undersigned FTorula <br /> non profit corporation adopts the following articles of amendment to its articles o,f <br /> incorporation. <br /> ARTICLE III <br /> Purpose(s) <br /> This corporation is being organized as a nonreligious, nondenominational organization whose <br /> purpose is to address social problems and needs of the, State of Florida and particularly those of <br /> Indian River County, Florida, exclusively for charitable and educational purposes, within the <br /> meaning of section 501 (c)(3 ) of the Internal Revenue Code (or corresponding section of any <br /> future Federal tax code. ) <br /> ARTICLE IV <br /> Manner of election of directors <br /> The manner in which the election of directors will be as follows; the chairman of the board shall <br /> be elected by the membership . The remaining board members will be appointed by the chairman <br /> for staggered terms as reflected on the board member roster in the documents of incorporation. <br /> In lieu thereof, the method of election of directors are stated in the corporations bylaws : <br /> ARTICLE V <br /> Earnings <br /> No part of the net earning of the corporation shall inure to the benefit of or be distributable to its <br /> members, trustees, directors, officers or other private persons, except that the corporation shall be <br /> authorized and empowered to pay reasonable compensation for services rendered to make <br />
