NEC NEC Unified Solutions, Inc. <br /> Statement of Work <br /> This Statement of Work ("SOW") outlines the responsibilities, deliverables and acceptance criteria <br /> for the services that NEC Unified Solutions, Inc. ("NEC") will perform for Indian River County <br /> ("Customer") as described in the Project Summary below. <br /> 1 . Project Summary <br /> Move current 2400 IPX System and connect MAT, Aimworx, terminate tails on CPE Blocks and <br /> install SN716 console. Customer responsible for moving Voicemail System and phones, including <br /> cross connecting. NEC will install jacks for Voicemail System. System move is scheduled for a <br /> weekend out with three days post cut support. <br /> NEC will not be liable for any cabling issues; if cable troubleshooting is required it will be incurred <br /> at prevailing hourly rates. <br /> 2. Project Scheduling <br /> This project is scheduled to star TBD, with the anticipated Cutover Date of TBD. The project shall <br /> be deemed complete when NEC has completed the services as described in Section 1 above and <br /> the system is functioning substantially in accordance with manufacturer's published specifications <br /> for the newly purchased functionality ("Cutover Date"). <br /> 3. Assumptions and limitations <br /> This Statement of Work and the rates/price are based on the following key assumptions <br /> ("Assumptions"). Parties agree that any changes in the Assumptions may result in an adjustment <br /> in the rates/price. <br /> 3. 1 . The terms and conditions of the SOW and the Agreement prevail regardless of <br /> any conflicting terms on the Purchase Order, other correspondence and any and <br /> all verbal communications. All Purchase Orders shall be approved and accepted <br /> by NEC in their Dallas office. <br /> 3.2. Delays caused by lack of completed site preparation or failure to meet any <br /> responsibilities as specified on the part of the Customer will be billed at NEC's <br /> time and materials rates plus expenses. Any additional costs incurred by the <br /> Customer as a result of delays shall be the sole responsibility of the Customer. <br /> 3.3. The Customer is responsible for any facility issues that may arise (i.e. bad or <br /> incorrect cabling, not meeting cable plant, environmental or power specifications, <br /> lack of rack space, etc.) and will correct any issues as quickly as possible. The <br /> Customer may contract with NEC for resolution of these issues. <br /> 3.4. Unless purchased through NEC, the Customer is responsible for ordering and <br /> verifying availability of any required Telco circuits. <br /> 3.5. Customer will schedule and inform users of any required systems outage. <br /> 3.6. NEC requires a minimum lead-time of fourteen ( 14) calendar days from <br /> Customer's execution of the SOW to begin work.
