ORIGINAL <br /> THIRD AMENDMENT TO CUSTODIAL SERVICES AGREEMENT <br /> This Third Amendment to Custodial Services Agreement ('Third Amendment') is entered <br /> into effective January 16 , 2007 , by and between Indian River County , a political subdivision of the <br /> State of Florida , 1840 25th Street, Vero Beach , FL 32960 ("County") and Heveron Group , Inc. , a <br /> Florida corporation , having a principal place of business at 1872 Commerce Avenue , Suite A, Vero <br /> Beach , FL 32960 , d/b/a Beachland Cleaning Service ("Contractor" ). <br /> BACKGROUND RECITALS <br /> A. Effective October 1 , 2005 , the County and the Contractor entered into the Custodial <br /> Services Agreement, as amended by First Amendment to Custodial Services Agreement dated <br /> effective October 1 , 2005 and as further amended by the Second Amendment to Custodial Service <br /> Agreement dated November 14 , 2006 (as so amended , the "Agreement') . <br /> B. The County and the Contractor desire to amend the Agreement by deleting services , in <br /> accordance with the provisions of the Agreement, as set forth in this Third Amendment. <br /> NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of <br /> which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and <br /> agree to amend the Agreement as follows : <br /> 1 . The background recitals are true and correct and form a material part of this Third <br /> Amendment. <br /> 2 . From and after the effective date of this Third Amendment, the Services set forth on <br /> Exhibit " B" to the Agreement are amended by deleting the services and compensation as set forth <br /> on Exhibit "A" attached hereto and incorporated by reference in its entirety. <br /> 3 . All terms and conditions of the Agreement not amended herein remain in full force <br /> and effect . <br /> IN WITNESS WHEREOF , the County and the Contractor have caused this Third <br /> Amendment to be signed by their respective duly authorized officers as of the day and year first <br /> stated above. <br /> Contractor& O INC.
