� z <br /> CONTRACT EXTENSION OF THE i <br /> WETLANDS OPERATION AND MAINTENANCE AGREEMENT <br /> FOR <br /> THE INDIAN RIVER COUNTY DEPARTMENT OF UTILITIES SERVICES <br /> THIS CONTRACT EXTENSION OF THE WETLANDS OPERATION AND <br /> MAINTENANCE AGREEMENT ("Agreement ') dated this 12th day of August, 2003 , by Indian <br /> River County, a political subdivision of the State of Florida ("County") and Ecotech Consultants , Inc . <br /> ("Contractor") , <br /> BACKGROUND RECITALS <br /> A . On April 18 , 2000, the County and the Contractor entered into a "Contract Extension of the <br /> Operation and Maintenance Agreement ' ("Extended Agreement ') . <br /> B . The Extended Agreement had an initial term of two years from April 18 , 2000 , <br /> C . The Extended Agreement provides, in Article 5 , Paragraph 5 . 2 , for three (3 ) separate <br /> annual renewals at the same yearly contract fee. <br /> D . The parties have extended the Extended Agreement, on the terms and conditions set forth <br /> therein and in a Contract Extension Agreement dated April 16 , 2002 for a one-year period, <br /> commencing April 19 , 2002 , and ending April 18 , 2003 . <br /> E . The parties now desire to extend the Extended Agreement, on the terms and conditions set <br /> forth therein and herein for both years of the remaining two year renewal periods , commencing <br /> effective April 19 , 2002 , and ending April 18 , 2005 , subject to the right of the parties to terminate the <br /> Extended Agreement sooner in accordance with its terms . <br /> NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency <br /> of which is hereby acknowledged, the parties agree as follows : <br /> 1 . The background recitals are true and correct, and form a material part of this Agreement . <br /> 2 . The Extended Agreement is hereby extended from a two -year period, commencing effective <br /> April 19 , 2003 , and ending on April 18 , 2005 , subject to the right of the parties to terminate the <br /> Extended Agreement sooner in accordance with its terms . <br /> 3 .
