WORK ORDER NUMBER HH -1 <br />FOR <br />DESIGN OF REPAIRS TO <br />WABASSO CAUSEWAY EAST & WEST FISHING PIERS <br />This Work Order Number HH -1 is entered into as of this 16th day of <br />May , 200 6 by and between Indian River County, a political subdivision of the <br />State of Florida ("COUNTY') and Hardesty & Hanover LLP ("Consultant') pursuant to that <br />certain Standard Professional Services Agreement [Contract No. C8E76; FDOT Financial <br />ID No. 25061523202 dated March 22, 2005 ("Agreement'), by and between State of <br />Florida Department of Transportation ("Department') and Hardesty & Hanover LLP as <br />Consultant. <br />1. Pursuant to the Agreement, the Consultant hereby represents and warrants to <br />Indian River County, Florida that: <br />A. the Agreement is attached hereto as Exhibit 1 and incorporated herein by this <br />reference; <br />B. Consultant will perform the services set forth in Attachments 1, 2, and 3 attached <br />hereto and incorporated herein by this reference for Indian River County, Florida under all <br />of the terms and conditions of the Agreement; <br />C. All references to Department in the Agreement shall be deemed to mean Indian <br />River County, Florida <br />D. Consultant will submit all payment invoice(s) to Indian River County, in form <br />satisfactory to Indian River County, Florida; and <br />E. Indian River County, Florida, will be named as an additional insured, or afforded <br />coverage under, as applicable, on all of the types of insurance set forth in the Agreement. <br />2. In accordance with applicable Florida law, the COUNTY has selected the <br />Consultant to perform the professional services set forth on Attachment 1, attached to this <br />Work Order and made part hereof by this reference. The professional services will be <br />performed by the Consultant for the fee schedule set forth in Attachment 2, attached to this <br />Work Order and made a part hereof by this reference. The Consultant will perform the <br />professional services within the timeframe more particularly set forth in Attachment 3, <br />attached to this Work Order and made a part hereof by this reference all in accordance <br />with the terms and provisions set forth in the Agreement. Pursuant to the Agreement, <br />nothing contained in any Work Order shall conflict with the terms of the Agreement and the <br />appropriate terms of the Agreement shall be deemed to be incorporated in this Work Order <br />as if fully set forth herein. <br />IN WITNESS WHEREOF, the parties hereto have executed this Work Order as of <br />the date first written above. <br />
