O <br /> value of $ 30 , 546 . 00 for a total inventory value of $ 55 , 722 . 00 . <br /> 5 . 1 Relocation of Palms . The County will notify the Sellers when the County wants to relocate <br /> some or all of its palm trees , and the Seller will dig the desired number of palms trees and load <br /> them onto County vehicles . The County shall be responsible for planting the palm trees . <br /> 5 . 2 Maintenance of Palms by Seller . Until such time as the road project is ready for <br /> construction , the Sellers agree to continue to care for the 565 trees purchased by the County . <br /> The Sellers shall water , fertilize , mow and herbicide the County owned palm trees in the same <br /> manner as Seller cares for its trees on the remainder parcel . The annual maintenance cost is <br /> estimated to be $ 1 , 746 . 21 per acre . The cost of maintaining 3 . 838 acres would be $ 6 , 701 . 95 <br /> per year . As more of the trees are removed , the maintenance cost to the County would <br /> decrease also . On a quarterly basis , Seller shall send a bill for maintenance to Buyer in an <br /> amount no more than $ 1 , 675 . 50 . The Sellers agree not to plant any additional trees in the area <br /> of take . <br /> 5 . 3 Compensation for Fencing and Irrigation As a result of the take , Seller will lose irrigation <br /> equipment and 1 , 296 linear feet of 5 strand barb wire fence . The County agrees to compensate <br /> Seller in the amount of $ 6 , 664 . 00 for the lost fence and $ 1 , 125 . 30 for the loss of irrigation parts <br /> within the area of take and $473 . 26 for modification of the irrigation after the take . <br /> 5 . 4 Purchase Price for Palms Fencing and Irrigation Improvements . The purchase price <br /> (" Purchase Price II " ) for the palms , fencing and irrigation improvements shall be Sixty Three <br /> Thousand Nine Hundred Eighty Four Dollars and fifty - six cents ( $ 55 , 722 . 00 , $ 6 , 664 . 00 and <br /> $ 1 , 125 . 30 and 473 . 26 = $ 63 , 984 . 56 ) . The total purchase price ( " Purchase Price " ) is the total of <br /> Purchase Price 1 ( $ 213 , 392 . 80 ) and Purchase Price II ( $ 63 , 984 . 56 ) _ $ 277 , 377 . 36 , which shall <br /> be paid on closing date with the other attorney ' s and engineering fees included herein . <br /> 6 . Representations of the Seller . <br /> 6 . 1 Seller is indefeasibly seized of marketable , fee simple title to the Property , and is the sole <br /> owner of and has good right , title , and authority to convey and transfer the Property which is the <br /> subject matter of this Agreement , free and clear of all liens and encumbrances . <br /> 6 . 2 From and after the Effective Date of this Agreement , Seller shall take no action which <br /> would impair or otherwise affect title to any portion of the Property , and shall record no <br /> documents in the Public Records which would affect title to the Property , without the priorwritten <br /> consent of the County . <br /> 6 . 3 There are no existing or pending special assessments affecting the Property , which are or <br /> may be assessed by any governmental authority , water or sewer authority , school district , <br /> drainage district or any other special taxing district . <br /> 7 .
