3. TERM. <br />The term of the Agreement shall be for one year beginning on March _, 2014 and ending <br />on March , 2015. Brevard and Indian River, through the Brevard Director of Human Resources <br />and the Indian River Human Resources Manager, may mutually agree to renew this Agreement from <br />year to year, upon the same terms and prices, unless otherwise agreed upon by amendment to the <br />Attachments referenced herein. Any increase in price in the training courses shall be approved by <br />the Board of County Commissioners of Indian River County. <br />4. PAYMENT. <br />Indian River shall remit payment in accordance with the Florida Prompt Payment Act, section <br />218.70, Florida Statutes, et seq. <br />5. INDEMNIFICATION. <br />B revard and Indian River as political subdivisions defined in Section 768.28. Fla Stat., agree <br />to be fully responsible to the extent provided by Section 768.28 Fla Stat. for their own negligent acts <br />o r omissions or tortuous acts which result in claims or suits against them. Nothing herein in intended <br />to serve as a waiver of sovereign immunity by any party to which sovereign immunity applies <br />Nothingherein shall be construed as consent by Brevard or Indian River to be sued by a third party <br />in any matter. <br />6. MODIFICATIONS TO CONTRACT. <br />This Agreement, together with any exhibits, task assignments and schedules, constitute the <br />e ntire agreement between Brevard and Indian River and supersedes all prior written or oral <br />u nderstandings. This Agreement and any exhibits, task assignments and schedules may only be <br />amended, supplemented or canceled by a written instrument duly executed by the parties hereto. <br />7. INSURANCE. <br />B revard and Indian River, at their own expense, shall keep in force and at all times maintain <br />general liability and automobile liability coverage consistent with and at a minimum, the limits <br />provided by Section 768 28 Fla Stat. during the term of this Agreement. <br />8. WORKERS' COMPENSATION COVERAGE. <br />B revard and Indian River shall provide the full and complete statutory Workers' <br />Compensation Coverage, for their own employees and at their own expense. <br />9. ATTORNEY'S FEES. <br />In the event of any legal action to enforce the terms of this Agreement each party shall bear. <br />its own attorney's fees and costs. <br />10. GOVERNING LAW. <br />This Agreement shall be governed, interpreted and construed according to the laws of the <br />State of Florida <br />11. COMPLIANCE WITH STATUTES. <br />It shall be the responsibility of each party to be aware of and comply with all federal, state <br />and local laws <br />2 <br />
