618910 <br /> ► 5 ($ 2011 <br /> D 11 , 15 7vvoo %j <br /> &KIrILL <br /> tia <br /> AGREEMENT FOR PROCESSING AND RECYCLING OF YARD WASTE ftst <br /> THIS AGREEMENT is entered into this 16 day of August , 2011 , by and between Indian <br /> River County Solid Waste Disposal District, a dependent district of Indian River County , Florida <br /> (" SWDD") and Consolidated Resource Recovery , Inc . , a Delaware corporation ("CRR") , <br /> WHEREAS , CRR is the contractor under that certain contract # 11 -005 for processing and <br /> recycling of yard waste, between St. Lucie County , Florida and CRR, dated March 22 , 2011 , which <br /> contract was procured through a competitive selection process (" St. Lucie County Contract") ; and <br /> WHEREAS , the SWDD is authorized, by the County ' s Purchasing Manual and Code of <br /> Ordinances , to purchase services directly , without bids or quotations , pursuant to contracts entered <br /> into by other local governments , such as the St . Lucie County Contract, <br /> NOW, THEREFORE , in consideration of the mutual undertakings herein and other good and <br /> valuable consideration, SWDD and CRR hereby agree , as follows : <br /> 1 . Recitals . The above recitals are true and correct and are incorporated herein . <br /> 2 . St . Lucie County Contract . SWDD hereby purchases from CRR, and CRR hereby sells to <br /> SWDD , processing and recycling of yard waste services, in accordance with the terms and <br /> conditions of the St. Lucie County Contract which, except as modified below , is hereby <br /> incorporated by reference . <br /> 3 . Modifications . The St . Lucie County Contract is hereby modified , as follows : <br /> a . All references to "St. Lucie County" shall be amended to "Indian River County Solid <br /> Waste Disposal District" ; <br /> b . SWDD will be named as an additional insured on all of the types of insurance ; <br /> c . The effective date for start of operations in Indian River County is October 1 , 2011 ; <br /> d . SWDD makes no guarantee as to any quantity of yard waste to be provided to CRR . <br /> SWDD ' s failure to provide any quantity of yard waste shall not be a violation of the <br /> agreement by SWDD ; <br /> e .
