i <br /> NOW THEREFORE , in consideration of the mutual terms , conditions , promises <br /> and covenants hereinafter, KAH and the County agree as follows : <br /> 1 . The above recitals are true and correct and incorporated by reference into this <br /> agreement . <br /> 2 . The parties agree to schedule a closing date within 60 days from the date of the last <br /> signature on this agreement . <br /> 3 . As part of the property exchange , the County hereby agrees to convey to KAH , the <br /> 0 . 13 acre parcel of property depicted on the sketch and legal description attached and <br /> incorporated by reference as Exhibit " B " . <br /> 4 . At the same time , and as an additional part of the property exchange , KAH agrees to <br /> convey to the County the parcel consisting of 8t" Court SW, consisting ofjlfllgf�square <br /> feet ( OvIracres ) as depicted on Exhibit C attached , and <br /> 5 . At the same time , and as an additional part of the property exchange , KAH agrees <br /> to convey to the County the parcel consisting of 1 , 900 square feet (0 . 04 acres ) as <br /> depicted on Exhibit D attached , and <br /> 6 . At the same time , and as an additional part of the property exchange , KAH agrees to <br /> pay to the County the sum of $ 7 , 500 . 00 . <br /> 7 . Each party shall convey marketable title to their respective parcels by appropriate <br /> deed free of claims , liens , easements , encumbrances and property taxes prorated for <br /> the year of closing . <br /> 8 . County shall be responsible for preparation of all Closing documents . <br /> a . County shall pay the following expenses at Closing : <br /> The cost of recording the warranty deeds and any release or satisfaction <br /> obtained by KAH pursuant to this Agreement . <br /> b . KAH shall pay the following expenses at or prior to Closing : <br /> The cost of recording the deed and any release or satisfaction obtained by <br /> County pursuant to this Agreement , together with taxes . liens or encumbrances upon <br /> the Property conveyed to the County . <br /> 9 . In the event a dispute arises over this agreement , KAH and County shall each pay <br /> their own attorneys ' fees and costs . <br /> 2 <br />
