5 . TERM ; TERMINATION , <br /> This Agreement shall be effective for a period of two ( 2 ) years beginning <br /> retroactively on October 1, 2012 and ending September 30, 2014 . Either party may terminate <br /> this Agreement without cause upon ninety (90) days prior written notice to the other.
