Page 1 of 1 EXHIBIT H PO No. Agreement No. FINAL PAYMENT GENERAL RELEASE AND INDEMNITY AGREEMENT KNOW ALL MEN BY THESE PRESENT: That Waste Manuement Inc. of Florida (Supplier), a Florida corporation, with an office at 2700 NW 48`h Street Pompano Beach, FL 33073 in consideration of the payment of $605,392.54 on Invoice No. L representing the final payment under the Agreement dated May 12, 2009 , between the undersigned and Indian River County Solid Waste Disposal District( Owner), covering the design, engineering, procurement, construction, or performance of services at (or for) Indian River Vertical & Partial Closure Project and Borrow Pond , does hereby certify and warrant that it has been fully paid on account of said Agreement and does further certify and warrant that it has fully paid and satisfied all claims for work, labor, materials, supplies, equipment, and all other items used or furnished by the undersigned and it subcontractors and material suppliers in the performance of said Agreement. The undersigned therefore waives, releases, and discharges Owner, and the real property on which the undersigned's performance of the Agreement was performed, from and against any and all claims, liabilities, actions and judgments arising out of any matter related to this Agreement. The undersigned, in consideration of the final payment being made by Owner pursuant to such Agreement, does hereby release and forever discharge Owner from any right of lien it may have against Owner under said Agreement, and the undersigned hereby agrees to defend, indemnify, and hold harmless Owner and its officers and agents from and against all claims, demands, and liabilities arising out of labor performed or material and equipment supplied by the undersigned or by its subcontractors or material vendors or otherwise caused in whole or in part by the undersigned in connection with the performance of said Agreement. In addition, the undersigned agrees to reimburse Owner for any excess payments made by it to the undersigned, which may be discovered as a result of Owner's audit of the aforementioned Agreement.
