<br />POWER OF ATTORNEY
<br />KNOW ALL MEN BY THESE PRESENTS:
<br />That the Affiliated FM Insurance Company, a corporation of the State
<br />of Rhode Island, does hereby make, constitute and appoint J. D. McGann, Jr.,
<br />John H. Golbranson, Jr., J. M. Faulkner, II, each its true and lawful
<br />Attorney -In -Fact, with full power and authority, for and on behalf of the
<br />Company as surety, to execute and deliver and affix the seal of the Company
<br />thereto, if a seal is required, bonds, undertakings, recognizances or other
<br />written.obligations in the nature thereof, as follows:
<br />Any and all bonds, undertakings, recognizances, consents
<br />of surety or other written obligations in the nature thereof
<br />and to bind Affiliated FM Insurance Company thereby, and all of
<br />the acts of said Attorneys -In -Fact, pursuant to these presents,
<br />are hereby ratified and confirmed.
<br />This appointment is made under and by authority of the following by-
<br />laws of the Company which by-laws are now in full force and effect:
<br />ARTICLE III, Section 1. Powers. The business and affairs
<br />of the Company shall be managed by the Board of Directors.
<br />This power of attorney is signed and sealed under and by authority
<br />of the following Resolution adopted by the Directors of the Company at
<br />a special meeting duly called and held on July 7, 1971.
<br />Voted: That the Managing Director, the President, and the
<br />Secretary be and hereby are authorized and directed to make
<br />and file applications for licenses, certificates and other
<br />documents required by Federal, State or Territorial authorities
<br />of the United States, or by Dominions or Provincial authorities
<br />in Canada, whenever and wherever said officers deem it necessary
<br />or expedient to make such filings as a condition precedent to
<br />securing authority for the Company to transact business in such
<br />jurisdictions; and they are further authorized and directed to
<br />appoint suitable persons, attorney or attorneys, for the accep-
<br />tance of service of process, to act as resident agents, counter-
<br />signing agents or for other purposes as may be required by law
<br />or department rulings or otherwise.
<br />IN WITNESS WHEREOF, THE AFFILIATED FM INSURANCE COMPANY has caused
<br />these presents to be signed by its proper officer and its corporate seal
<br />to be hereunto affixed this 13th day of February , 1973.

<br />1973, then personally appeared before me H. E. Tornquist to me known, who
<br />being by me duly sworn did depose and say: that he resides in the State
<br />of Rhode Island; that he is President of AFFILIATED FM INSURANCE COMPANY,
<br />the corporation described in and which executed the above instrument: that
<br />he knows the seal of said corporation: that the seal affixed to said in-
<br />strument is such corporate seal; that it was so affixed by authority of
<br />his office under the by-laws of said corporation, and that he signed his
<br />name thereto by like authority.
<br />CERTIFICATION
<br />I, Heston S. Hirst, Senior Vice President and Secretary of AFFILIATED
<br />FM INSURANCE COMPANY certify that the foregoing power of attorney, the
<br />above quoted Section 1 of Article III and the resolution of the Board of
<br />Directors of July 7, 1971, have not been abridged or revoked and are now
<br />in full force and effect.
