<br />SPECIAL WARRANTY DEED
<br />THIS SPECIAL WARRANTY DEED is made to be effective as of the ooM day of April, 2008,
<br />by and between PARK PLACE COMMUNITY, L.L.C., a Florida limited liability company, with
<br />an address of c/o American Land Lease, Inc., 29399 U.S. Highway 19 North, Suite 320, Clearwater,
<br />Florida 33761 (hereinafter referred to as the "Grantor"), and INDIAN RIVER COUNTY, a
<br />political subdivision of the State of Florida, with an address of 1840 25* Street, Vero Beach, Florida
<br />32960 (hereinafter referred to as the "Grantee"),

<br />The Grantor, for and in consideration of the sum of Ten and No/100ths Dollars ($10.00) and
<br />other good and valuable considerations, the receipt and sufficiency of which are hereby acknowl-
<br />edged, hereby grants, bargains, sells, conveys, remises, releases and transfers unto the Grantee, its
<br />successors and assigns, all that certain land situate in Indian County, Florida (the "Property"), more
<br />fully described as follows:
<br />See Exhibit "A" attached hereto and incorporated herein by reference, which
<br />Property is subject taxes and assessments for 2008 and all subsequent years, matters
<br />of survey, zoning ordinances and governmental regulations, easements, restrictions
<br />and reservations of record, if any. .
<br />TOGETHER with all the tenements, hereditaments and appurtenances thereto belonging or
<br />in anywise appertaining.
<br />TO HAVE AND TO HOLD the same in fee simple forever.
<br />The Grantor does hereby covenant with the Grantee that the Grantor is lawfully seized ofthe
<br />Property in fee simple; that it has good, right and lawful authority to sell and convey the Property;
<br />and that it warrants the title to the Property, subject to the matters set forth herein, and will defend
<br />the same against the lawful claims of all persons whomsoever claiming by, through or under the
<br />Grantor but against none other. Except for the special warranty of title made in this deed of
<br />conveyance, the Grantor makes no other representations, warranties or covenants herein and hereby
<br />expressly disclaims any and all implied representations, warranties and covenants, whether arising
<br />by operation of law, by statute or otherwise.
