This letter agreement will constitute an <br /> amendment to the Agreement. Except as amended and modified by this letter agreement, all of the <br /> terms, covenants, conditions, and agreements of the Agreement shall remain in full force and effect. In <br /> the event of any conflict between the provisions of the Agreement and the provisions of this letter <br /> agreement, this letter agreement shall control. <br /> In Section 14 of the Agreement, on the second line, "March 31, 2001" (which was deleted and <br /> replaced with "May 4, 2001" pursuant to the letter agreement referenced above) is hereby deleted and <br /> replaced with "August 31, 2001." <br /> This letter agreement may be executed in two or more counterparts, each of which shall be <br /> deemed an original, but all of which together shall constitute one and the same instrument.
