(a) Any part of said $2,000,000 that is not expended by the expiration of the <br />Term or earlier termination of this Agreement shall be paid to the County at such time. <br />(b) The parties will jointly develop and update periodically a capital <br />improvement plan or other approach which will provide guidance in the use of the Capital <br />Reserve Account. Capital improvements will generally be considered to be any capital <br />repair, replacement or improvement to the Facility, including by way of examples and not <br />limitation capital equipment, which will extend the useful life of the Facility whose cost <br />is in excess of $1,000 and is reasonably determined necessary for the maintenance and <br />upkeep of the Facility. <br />(c) Beginning with the first Renewal Term and MiLB's sixth year of <br />occupancy (beginning in May, 2014), MiLB and the County each agree to add $50,000.00 <br />(fifty thousand dollars) per Lease Year to the Capital Reserve Account as a means of <br />supplementing and/or increasing the Capital Reserve Account balance. <br />Section 8.03. Immediate Facility Improvements. <br />(a) The County, at its expense, will add field lights to two existing playing <br />fields in 2009 and will add field lights to two other existing playing fields in 2010. The <br />County shall not pay for these additional lights out of the Capital Reserve Account. Field <br />lighting for those four additional playing fields shall meet the requirements of Class AAA <br />and Class AA field lighting for a new facility which are 100fc (foot candle) average in <br />infield and 70fc average in outfield. <br />(b) The County will convert two existing half -fields into youth -dimensioned <br />playing fields in 2009 at its expense. The County shall not pay for these field conversions <br />out of the Capital Reserve Account. <br />ARTICLE IX <br />DOCUMENTS AND CERTIFICATES <br />Section 9.01. Documents and Certificates. Each party shall supply to the other such <br />documents and certificates as are reasonably available or procurable, and necessary for the <br />purpose of obtaining certificates from the State of Florida Office of Tourism, or for any other <br />purpose reasonably related to the obligations of the parties, including, but not limited to, the <br />County's funding or administration of this Agreement and ownership of the Facility, or to <br />consummate the transactions or objectives described in this Agreement. <br />Page 16 of 29 <br />
