BOND RATINGS <br />Standard & Poor's Ratings Group and Fitch Ratings have assigned ratings of <br />"AA-" and "AA," respectively to the Bonds without regard to the policy of municipal <br />bond insurance. Standard & Poor's Ratings Group and Fitch Ratings have assigned <br />the Bonds the ratings of "AAA" and "AAA," respectively, based upon the issuance by [ <br />] of its standard policy of municipal bond insurance insuring the timely payment <br />of the principal of and interest on the Bonds. There is no assurance that any such <br />ratings will continue for any given period of time or that they will not be lowered or <br />withdrawn entirely by the rating agencies, or any of them, if in their judgment <br />circumstances so warrant. A downward change in or withdrawal of such ratings or any <br />of them, may have an adverse effect on the market price of the Bonds. An explanation <br />of the significance of the ratings can be received from the rating agencies. <br />DISCLOSURE MATTERS <br />Certificate as to Official Statement <br />The execution and delivery of this Official Statement has been duly authorized <br />by the County. At the time of delivery of Bonds to the Underwriter, the County will <br />provide to the Underwriter a certificate (which may be included in a consolidated <br />closing certificate of the County), signed by those County officials who signed this <br />Official Statement, relating to the accuracy and completeness of this Official Statement <br />and to its being a "final official statement" in the judgment of the County for the <br />purposes of SEC Rule 15c2 -12(b)(3). <br />Continuing Disclosure <br />In accordance with the requirements of Rule 15c2-12 (the "Rule") promulgated <br />by the Securities and Exchange Commission, the County has agreed or will agree to <br />provide, <br />(i) to each nationally recognized municipal securities information repository <br />("NRMSIR") and, if designated by the State, the state information depository ("SID"), <br />certain annual financial information and operating data, including audited financial <br />32 <br />
