<br />Gentlemen:
<br />Pursuant to our agreement with the County dated May 18, 1977 wherein we,
<br />William R. Hough & Co. agreed to act as investment banker for the above
<br />referenced bond issue, we respectfully submit this letter with an attach-
<br />ment as our offer of purchase for the captioned bonds.
<br />For $1,815,000 Indian River County, Florida, Solid Waste Disposal System
<br />Revenue Bonds, Series 1977 which Bonds shall be dated September 1, 1977
<br />and which shall bear semi-annual interest on March 1 and September 1 of
<br />each year and which are additionally described in Attachment A to this
<br />letter which is hereby made a part of this offer; and, for all but not
<br />less than all of said Bonds maturing•and bearing interest at the rates
<br />per annum as follows:
