XIM.W-PAIR PARTS AND MAINTENAMCONTRACTS <br />Seller shall transfer to the Buyer at closing,as part of <br />the consideration for the purchase price set forth herein, all <br />repair and replacement parts which Buyer has on hand for <br />the equipment remaining in the hospital after closing. <br />Seller shall provide Buyer with copies of all outstanding <br />maintenance contracts for equipment remaining on the premises <br />for the Buyer's information and reference. <br />XII. SURVEY <br />The Buyer, within time allowed for delivery of evidence of <br />title and examination thereof, may have the property surveyed <br />at its expense.. If the survey, certified by a registered Florida <br />surveyor, shows any encroachment on said property or that improve- <br />ments located on the subject property in fact encroach <br />on lands of others, or violate any of the contract covenants., <br />the same shall be treated as a title defect. Any survey prepared <br />in. connection with or as a consequence of this transaction may <br />include a description of the property under the Florida Coordinate <br />*System as defined in Chapter 177, Florida Statutes. <br />XIII .SPECIAL ASSESS"IENT LIENS <br />Certified, confirmed and ratified special assessment liens as' <br />of date of closing (and not as of date of contract) are to be <br />• paid by Seller. Pending liens as of date of closing shall be <br />assumed by Buyer, provided, however, that where the improvement <br />has-been substantially completed as of the date of contract, such <br />pending lien shall be considered as certified, confirmed or rati- <br />fi.ed and Seiler -shall, at closing, be charged an amount equal to <br />the last estimate by the public- body, of.the assessment for the <br />improvement. <br />XIV. RISK OF LOSS <br />If the improvements are damaged by fire or other casualty <br />prior to closing, and cost of restoring the same does not exceed <br />three (3) percent of the purchase price 'of the improvements so <br />damaged, cost of restorati6n.sliall be an obligation of the Seller <br />and closing shall proceed pursuant to the terms of the contract <br />with cost therefor escrowed at closing.
