0 <br />(c) It is agreed between the parties that the closing <br />of this transaction is conditioned upon Purchaser securing a <br />commitment from the Farmers Home Administration for sufficient <br />funds to pay the purchase price set forth herein. <br />8. Customer Advances in Aid of Construction: The Seller <br />further agrees with the Purchaser that on and after the execution <br />of this Agreement, it will not enter into any agreement with <br />customers in the nature of.customer advances in aid of construction <br />contracts without the prior knowledge and written acquiesence of <br />the Purchaser. <br />9. Assumption of Obligations of Public Utility: Purchaser <br />shall assume all obligations, privileges and rights to be exercised <br />and performed by Seller in connection with the ownership and <br />operation of the Subject Assets subsequent to or at the time of <br />the closing and shall perform all disclosed Exhibit "B" obligations <br />of Seller in Indian River County, Florida, in connection with the <br />ownership and operation of the Subject Assets to construct, maintain, <br />operate, repair, improve,*remove and extend water utility systems <br />which are a part of the Subject Assets; serve customers with the <br />Subject Assets; comply with all requirements for the protection <br />of the public interests, health, safety and welfare relating to <br />the ownership and operation of the Subject Assets and attempt to <br />meet all applicable standards for the quantity and quality of water <br />standards relating to the ownership and operation of the Subject <br />Assets. <br />10. Hold Harmless and Indemnification: <br />(a) As to Purchaser: Purchaser does hereby agree to <br />indemnify and to hold Seller harmless from any and all disclosed <br />Exhibit "B" obligations, expenses, costs, attorneys' fees, damages, <br />penalties or other disclosed liabilities of every kind -and nature <br />whatsoever which Seller may incur .following the closing date as <br />a result of or which may arise following the closing date from <br />(i) the ownership and operation of the Subject <br />Assets; <br />(ii) all contracts, easements, licenses, franchises, <br />service agreements, developer agreements, right of way agreements, <br />and other privileges and rights assumed by and disclosed to Purchaser; <br />and <br />na F ig <br />011 -C -11C 78 ¢� <br />W <br />
