0 <br />steps to acquire the Lessee's interest in this Lease by fore- <br />closure of its security interest or otherwise. <br />K. MISCELLANEOUS <br />Management of project herein anticipated shall be in accordance <br />with management policies as follows: <br />a. A Board of Directors serving pursuant to the Articles <br />of Incorporation and ByLaws of Lessee shall oversee and <br />implement the policies and provisions of this Lease. <br />The Lessee will be required to submit periodic financial <br />statements and audits and will be subject to any <br />reasonable rules and regulations set out by the Board of <br />County Compaissioners of Indian River County. <br />In'planning improvements the Lessee shall consider future <br />compatible uses by the Lessor on or adjacent to the site such as <br />well fields or public recreation areas. All plans and specifications <br />covering the,proposed facility to be erected on said demised premises <br />shall be submitted to the Lessor for approval, which approval shall <br />not be unreasonably withheld. <br />The Lessee will not amend its Articles of Incorporation or its <br />By -Laws as a non-profit corporation, during the term of this Lease, <br />in such a manner as to affect or impair, the rights of the Lessor <br />herein, and unless the Lessor shall first approve any such amendments <br />In writing upon proper submission of such proposed amendments to thea. <br />The invalidity of any terms or provisions of this Lease, or any <br />part of any terms or provisions, will not effect the validity of the <br />remaining portions thereof. Any such valid term or provision or part <br />of any terms or provisions, shall be deemed stricken from this Lease. <br />The various rights, powers, options, elections, privileges, and/or <br />remedies, of the Lessors contained in this Lease, will be construed as <br />cumulative, and no one of them will be construed as being exclusive <br />of the other or exclusive of any rights or priorities provided by law. <br />The Lessee shall be responsible for the upkeep of all yard and <br />landscaped areas of the despised portion and at its sole cost. <br />The Lessee shall be required to furnish any facilities or <br />V <br />JAN 281981 7 <br />
