CONSERVATION LIGHTING CONVERSION AGREEMENT <br />' Form 216H ( Non . Stocked ) Rev. 7/31 <br />THIS AGREEMENT, made this 18th day of November , 19—U by and between <br />Indian River County on behalf cf ,itself and the effected <br />:1 un i c i al _ -Service Street_'i gnt V i stri ct_ _ I its successors and assigns (hereafter called <br />oi-, "Customer"), and FLORIDA POWER & LIGHT COMPANY, a corporation organized and existing under the laws of the State <br />Florida, its successors and assigns (hereafter called the "Company"). <br />WITNESSETH <br />WHEREAS, the Company now serves the Customer at various locations with Company owned street lighting service <br />and, <br />WHEREAS, the Company and the Customer desire to promote conservation by converting present street lighting sys. <br />tems of Incandescent and/or Mercury Vapor lamps to the more efficient High Pressure Sodium Vapor source, <br />NOW, THEREFORE, in recognition of the foregoing recitals and in consideration of the mutual covenants and agree- <br />ments contained herein, the parties hereto do agree as follows: <br />TERMS AND CONDITIONS <br />1. Conversions <br />Al conversions pursuant to this agreement will be at existing locations as indicated by the Customer records. All conver- <br />sions shall conform to the replacement proposal marked Exhibit "D" and made a part hereof by this reference, unless designated <br />ott,erwise by the Customer in writing or recommended otherwise by the Company and accepted by the Customer in writing accord - <br />in . to Exhibits "B" or "C", Original Tariff Sheet Nos. 9.113 and 9.114. <br />2. Ownership <br />Such conversions will be made at the Company's expense and all poles, wires, fixtures, lamps, and other appliances, supplied <br />and used by the Company in furnishing service herein provided for shall, at all times, be and remain the property of the Company. <br />3. Conversion Schedules <br />The Customer agrees that all scheduling and completion of designated conversions under the terms of this Agreement will <br />he ::t the sole discretion and management of the Company. The Company makes no representations as to the expected completion <br />dare of the designated conversions. <br />4. Incorporation <br />The following Street Lighting Agreements(s) is (are) expressly incorporated in its (their) entirety herein and shall expire on <br />Lite date that this Conservation Lighting Conversion Agreement expires as provided in paragraph five (5) herein. <br />Parties Date <br />e Exhib-4t"S" January 6, 1965 <br />I }ii, r;cw agreement is controlling to the extent of any inconsistency. If no such Street Lighting Agreement exists, the Customer <br />;il execute same simultaneously with the execution of this agreement. <br />Term of Contract <br />The Customer and the Company mutually agree that the life of this Agreement shall be for a term of ten (10) years from <br />the d.rte of this Agreement and shall extend thereafter for further successive periods of five (5) years from the expiration of the <br />sinal ten (10) year term, or from the expiration of any extension thereof. The Agreement shall be extended automatically unless <br />�ithcr party shall have given written notice to the other of its desire to terminate this Agreement.
