incurred at the specific request of the County, Auditor shall not <br />be reimbursed for any travel, per diem, photocopying, telephone <br />bills, or related expenses. <br />20. No Assignment by Auditor. This Agreement, or any <br />interest herein, shall not be assigned, transferred or otherwise <br />encumbered under any circumstances by Auditor. However, this <br />Agreement shall run to the County and to any of its successors. <br />21. Auditor Shall be Familiar with All Applicable Laws. <br />The Auditor shall familiarize themselves with and comply with the <br />provisions of any and all Federal, State and County Orders, <br />Statutes, Ordinances, Charter, Bond Covenants, Administrative <br />Code, Rules and Regulations, which may pertain to the work <br />required under this Agreement, including specifically those which <br />pertain to "Conflicts of Interest" and "Employment <br />Discrimination". <br />22. Termination. The parties agree this Agreement shall <br />not be terminated by either party with respect to the fiscal year <br />ending September 30, 1982. Thereafter, County in its sole discre- <br />tion shall have the right to termination of this Agreement at any <br />time with or without cause. Auditor shall have no right to <br />termination unless there is an uncorrected default by County. In <br />the event of termination by County, Auditor shall be entitled to <br />payment for all work performed through the date of termination. <br />In the event County increases the scope of work by adding <br />new areas of responsibilities, then Auditor shall be entitled <br />additional compensation as provided by this contract. <br />23. Representatives of County. The County and each <br />County Agency shall designate a representative through whom all <br />communications pertaining to the day-to-day conduct of the audit <br />shall be addressed and shall notify Auditors accordingly. Such <br />individuals may, from time to time, designate one or more of his <br />staff to perform all or part of the functions required hereunder <br />and shall so advise the Auditors. <br />24. Representatives of Auditor. The Auditor shall <br />inform the County and other County Agencies of the name of the <br />representative of the Auditor to whom matters involving the <br />I <br />ti -8- <br />0CT 6 1992 '51 626 <br />
