WK 52 <br />AGREEMENT FOR CONSULTING SERVICES ":Z— <br />THIS AGREEMENT made and entered into this 141-a(day of <br />January, 1983, by and between Indian River County, a political <br />subdivision of the State of Florida, hereinafter referred to as <br />the "County", and William H. Frazier, M.D., hereinafter referred <br />to as the "Doctor", with respect to consulting services for the <br />establishment of a County -wide Emergency Medical Service System. <br />NOW, THEREFORE, in consideration of the mutual promises <br />contained herein, the parties agree as follows: <br />1. Indian River County hereby engages the services of <br />the Doctor commencing on December 1, 1982, and thereafter to <br />continue on a month-to-month basis subject to termination as <br />provided herein. <br />2. During the term of this agreement, the Doctor shall <br />be compensated by Indian River County in the amount of ONE <br />THOUSAND FIVE HUNDRED DOLLARS and 00/100 ($1,500.00) a month. <br />The total compensation currently allocated for this purpose is <br />TEN THOUSAND DOLLARS AND 00/100 ($10,000.00) and this contract <br />shall terminate or be renegotiated by Indian River County at such <br />time as total compensation paid to the Doctor by Indian River <br />County reaches TEN THOUSAND DOLLARS AND 00/100 ($10,000.00). <br />3. This contract shall be construed as providing <br />services to Indian River County by the hiring of a consultant who <br />shall be considered at all times to be an independent contractor <br />of Indian River County and who will not be entitled to any of the <br />benefits enjoyed by direct employees of the County including but <br />not limited to the withholding of Federal income tax, FICA., <br />insurance, medical benefits and workman compensation benefits. <br />4. The Doctor will provide: <br />(a) Consulting services and advise Indian River <br />County on methods to maximize the current volunteer and other <br />emergency service effort with currently available resources, and <br />(b) Recommend a course of action for future <br />services and an estimate of the cost thereof, and <br />(c) Recommend sources of funding for current and <br />future services, and <br />72 <br />
