JAN 18 1994 BOOK 55 x$20 <br />following terms: <br />a) The Society shall appropriately mark the parking <br />area for use by its clients and shall repair and maintain the <br />parking surface and all markings thereon for the term of this <br />lease. All such markings shall be subject to the prior approval <br />of the County. <br />b) The Society shall not have the right to build any <br />improvements on or alter the existing paving on the subject site <br />without the prior written approval of County. <br />c) The Society may not sublet or assign this lease <br />without prior written approval of County. <br />d) The Society hereby agrees to indemnify, defend and <br />save Indian River County harmless from any and all claims, legal <br />proceedings, demands, judgments or liabilities of any kind whatso- <br />ever, excluding that caused by the negligence of the County or its <br />employees, arising from the use of the lease premises. <br />e) This lease shall terminate at such time the adjoin= <br />ing site is not used by the Society for Humane Society purposes. <br />3. Indian River County agrees to provide and install a <br />culvert of suitable size and design to enable access to the Humane <br />Society site, said culvert to be installed before commencement of <br />construction of the Society site. <br />4. Indian River County agrees to extend its current <br />waterline to a point ten (10) feet west.of the Road & Bridge <br />Department entrance on the north side of South Gifford Road which <br />is located directly across from the Society site. The Humane <br />Society shall bear the full cost of connecting to the waterline at <br />this point and shall pay all customary fees and charges under the <br />normal Indian River County utility policy. <br />5. This document contains the entire understanding of <br />the parties and may only be modified in writing by the mutual <br />consent of both parties. <br />6. This instrument shall not be recorded in the public <br />records of Indian River County and such recording shall constitute <br />a breach of this contract sufficient for either party to cancel <br />the agreement in whole. <br />�2- M <br />I <br />
