For the detailed construction drawings, specifications and <br />contract documents and all work described in Article 4, a lump sum <br />fee to be mutually agreeable at the time when the authorization is <br />considered. In determining the lump sum fee due consideration <br />shall be given to the schedule of fees for design and general <br />services during construction as described in the current edition <br />of American Society of Civil Engineers Manual No. 45 (Article 6, <br />pages 28, 29,•30, 31, 32 and 33) and any revisions thereto. <br />8c. Such other method or methods for calculating the fee as may be <br />mutually agreed by the parties hereto. <br />8d. All fees shall be due and payable monthly. The amount due shall <br />be determined as the costs are incurred for services performed <br />under Article 8a above and in proportion to the work completed to <br />the total work for services performed under Article 8b and 8c <br />above, subject to the upper limit set out in the authorization as <br />described in Article 1. <br />ARTICLE 9. TERMINATION: <br />9a. This Agreement may be terminated by either party by thirty (30) <br />days written notice. If terminated, the Consultant shall be paid <br />in accordance with Article 8 herein for all work previously <br />completed as authorized under this Agreement, to the date of <br />Notice of Termination. <br />9b. Consultant shall furnish reproducible copies of all reports, <br />drawings and specifications developed pursuant to this Agreement, <br />however, all documents including drawings and specifications <br />furnished by Consultant pursuant to this Agreement are instruments <br />of his services in respect of the Project. They are not intended <br />or represented to be suitable for reuse by County or others on <br />extensions of the project or on any other project. Any reuse <br />without specific written verification or adaptation by Consultant <br />will be at County's sole risk and without liability or legal <br />exposure to Consultant, and County shall indemnify and hold <br />harmless Consultant from all claims, damages, losses and expenses <br />including attorneys' fees arising out of or resulting therefrom. <br />Any such verification or adaptation will entitle Consultant to <br />further compensation at rates to be agreed upon by County and <br />Consultant. <br />- 6 - <br />64a/116P/050284 <br />
