Shargo, <br />Inc. has entered into a contract to sell Radio Station WAXE and <br />certain of its assets including the assignment of the above <br />referenced license. I note from paragraph 4 of the agreement <br />that any assignment is subject to prior approval of the Board <br />of County Commissioners which approval is not to be unreasonably <br />withheld. The purchase price is being paid in cash by the buyer <br />and all of the assets will be transferred free and clear of any <br />liens and encumbrances. Accordingly, the buyer is a corporation <br />of substance and I know of no reason why the county would not <br />consent to the assignment. <br />I have taken the liberty of preparing a Consent to Assign- <br />ment and enclose the original and two copies for your review. <br />I will be glad to attend any meeting of the Board of County <br />Commissioners to consider this matter if either you or the <br />Commissioners deems this necessary. Further, I will_b.e happy <br />to provide any additional information you may require. <br />The closing of the sale is contingent upon Federal <br />Communications Commission approval of the transfer and assign- <br />ment of the broadcast license. We anticipate approval within <br />thirty or forty days and closing within forty-five days. One <br />of the strict requirements of closing is the assignment of <br />this license agreement with the county together with the <br />consent as required. <br />I appreciate your attention to this matter and if this <br />is required to be placed on the agenda of the County Commission, <br />I would appreciate your doing so as early as possible and letting <br />me know the date when it will be heard. <br />erely yours, <br />Darrell Fe-nnell <br />6 <br />
