under Service Contracts, if any, in the form <br />Buyer; <br />(f) <br />transaction; <br />f Exhibit H hereto (if attached), of the sale to <br />an executed Buyer - Seller Closii g Statement reflecting all financial aspects of the <br />(g) as appropriate, all plans, specifications, permits, licenses and keys in Seller's <br />actual possession with respect to the Property (which shall be delivered at Seller's property <br />manager's office); and <br />(h) an executed Certificate of a senior officer of the sole member of Seller (or such <br />sole member's manager), certifying as to the authority of Seller, its sole member (and, as <br />appropriate, its manager), and as to the signatory of the Closing documents. <br />5.4 Buyer's Deposit of Documents. At or before Closing Buyer shall deposit or cause to be <br />deposited into escrow the following: <br />(a) cash to close in the amount required by Section 3.2; <br />(b) any State, County and local transfer tax declarations and forms required to be <br />executed by Buyer; <br />(c) two counterparts of an executed Assignment and Assumption Agreement (if the <br />appropriate box is checked); <br />(d) an executed Buyer - Seller Closing Statement; and <br />(e) evidence reasonably satisfactory to Seller and the Title Company reflecting that <br />all documents executed by Buyer at Closing were duly authorized and executed, and such other <br />documentation as may be required by the Title Company in order to insure title to the Property. <br />5.5 Other Documents. Buyer and Seller shall each deliver such other documents as are <br />otherwise required by this Agreement to consummate the purchase and sale of the Property in <br />accordance with the terms hereof. Unless the parties otherwise agree in writing, the Title <br />Company is hereby designated as the "Reporting Person" for the transaction pursuant to Section <br />6045(e) of the United States Code and the regulations promulgated thereunder. If requested in <br />writing by either party, the Title Company shall confirm its status as the "Reporting Person" in <br />writing, which such writing shall comply with the requirements of Section 6045(e) of the United <br />States Code and the regulations promulgated thereunder. <br />5.6 Possession.
