REAL ESTATE EXCHANGE AGREEMENT <br /> Between <br /> INDIAN RIVER COUNTY, STONEYBROOK FARMS GROUP, L.L.C. <br /> and PREMIER CITRUS,L.L.C. <br /> 2016 <br /> This Agreement is entered into this 1 6tYday of fetbruz/- fig,between Indian River <br /> County, a political subdivision of the State of Florida (the "County") 1801 27`h Street, Vero <br /> Beach, FL 32960; Stoneybrook Farms Group, L.L.C., a Florida limited liability company, whose <br /> principal address is 625 66`h Avenue SW, Vero Beach, FL 32968; and Premier Citrus, L.L.C., <br /> whose principal address is 625 66`h Avenue SW,Vero Beach, FL 32968 ("Premier"). <br /> WHEREAS, Stoneybrook Farms Group, L.L.C. ("Stoneybrook") caused certain lands to <br /> be platted and surveyed as Stoney Brook Farm, as recorded in Plat Book 19, Page 41, Public <br /> Records of Indian River County, Florida; and <br /> WHEREAS, the eastern boundary of the plat of Stoney Brook Farm overlapped right-of- <br /> way on 82nd Avenue which is owned by Indian River County ("County"); and <br /> WHEREAS, the western boundary of the plat of Stoney Brook Farm left a gap or hiatus <br /> between the plat boundary and other property owned by the County; and <br /> WHEREAS, the County desires to acquire from Premier additional property on the <br /> southwest corner of 82nd Avenue and 4`h Street for right-of-way purposes; and <br /> WHEREAS, Stoneybrook, the County, and Premier have agreed and do hereby agree to <br /> exchange certain portions of their respective properties as described herein; and <br /> WHEREAS, this Exchange Agreement is subject to final approval by the Indian River <br /> County Board of County Commissioners (`BCC") through the adoption of a resolution, and this <br /> exchange is allowed and authorized under Section 125.37, Florida Statutes, following notice as <br /> required to be published once a week for two weeks before consideration by the BCC; <br /> NOW, THEREFORE, for and in consideration of the mutual terms, conditions, promises, <br /> and covenants contained herein, Stoneybrook, the County, and Premier hereby agree as follows: <br /> 1. The foregoing recitals are true and correct and are incorporated as if fully restated <br /> herein. <br /> 2. The County shall convey to Stoneybrook,by county deed, the real property shown <br /> and described on Exhibit"A" attached hereto and made a part hereof. <br /> 3. Stoneybrook shall convey to the County, by quit claim deed, the real property <br /> shown and described on Exhibit"B" attached hereto and made a part hereof. <br /> 4. Premier shall convey to the County, by quit claim deed, the real property shown <br /> and described on Exhibit"C" attached hereto and made a part hereof. <br />
