ARTICLE 25 CHOICE OF LAW; VENUE The validity, interpretation, and enforcement of this Agreement shall be governed by the Laws of Florida without regard to conflict of Law applications. Indian River County, Florida, shall be proper venue for any litigation involving this Agreement. Any legal proceedings of any nature brought by either Party to enforce any right or obligation arising out of this Agreement shall be submitted to trial without jury before any court of competent jurisdiction in Indian River County, Florida. The Parties consent and submit to the jurisdiction of any such court in Indian River County, Florida, and agree to accept service of process outside the state of Florida in any matter submitted to any court pursuant hereto. ARTICLE 26 ENTIRE AGREEMENT This Agreement represents the entire Agreement between the Parties and supersedes all prior Agreements or representations, whether written or oral, with respect to the subject matter hereof. There are no representations, warranties, agreements or understandings (whether oral or written) between the Parties relating to the subject matter hereof which are not fully expressed herein. No Provision of this Agreement may be changed or amended except by written Agreement signed by both Parties. ARTICLE 27 PARTIES BOUND This Agreement shall be binding upon the Parties hereto and their respective successors, heirs, personal representatives and permitted assignees. ARTICLE 28 CONSTRUCTION; HEADINGS SOLELY FOR CONVENIENCE 29.1 Ambiguities Not To Be Resolved Against Draftinq Party. Each Party and its counsel have reviewed this Agreement. Accordingly, the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting Party shall not be employed in the construction and interpretation hereof. 29.2 Article, Section, And Sub-Section Headings For Convenience. The capitalized and bolded ARTICLE HEADINGS, underlined and initial capitalized Section Headings and the italicized and initial capitalized Sub-Section Headings, hereof, are inserted for convenience of reference only, are not a part hereof and shall have no effect on the construction or interpretation hereof.
