ARTICLE 25 <br /> CHOICE OF LAW; VENUE <br /> The validity, interpretation, and enforcement of this Agreement shall be governed by the <br /> Laws of Florida without regard to conflict of Law applications. Indian River County, <br /> Florida, shall be proper venue for any litigation involving this Agreement. Any legal <br /> proceedings of any nature brought by either Party to enforce any right or obligation arising <br /> out of this Agreement shall be submitted to trial without jury before any court of competent <br /> jurisdiction in Indian River County, Florida. The Parties consent and submit to the <br /> jurisdiction of any such court in Indian River County, Florida, and agree to accept service <br /> of process outside the state of Florida in any matter submitted to any court pursuant <br /> hereto. <br /> ARTICLE 26 <br /> ENTIRE AGREEMENT <br /> This Agreement represents the entire Agreement between the Parties and supersedes <br /> all prior Agreements or representations, whether written or oral, with respect to the subject <br /> matter hereof. There are no representations, warranties, agreements or understandings <br /> (whether oral or written) between the Parties relating to the subject matter hereof which <br /> are not fully expressed herein. No Provision of this Agreement may be changed or <br /> amended except by written Agreement signed by both Parties. <br /> ARTICLE 27 <br /> PARTIES BOUND <br /> This Agreement shall be binding upon the Parties hereto and their respective successors, <br /> heirs, personal representatives and permitted assignees. <br /> ARTICLE 28 <br /> CONSTRUCTION; HEADINGS <br /> SOLELY FOR CONVENIENCE <br /> 29.1 Ambiguities Not To Be Resolved Against Draftinq Party. Each Party and its <br /> counsel have reviewed this Agreement. Accordingly, the normal rule of construction to <br /> the effect that any ambiguities are to be resolved against the drafting Party shall not be <br /> employed in the construction and interpretation hereof. <br /> 29.2 Article, Section, And Sub-Section Headings For Convenience. The capitalized and <br /> bolded ARTICLE HEADINGS, underlined and initial capitalized Section Headings and <br /> the italicized and initial capitalized Sub-Section Headings, hereof, are inserted for <br /> convenience of reference only, are not a part hereof and shall have no effect on the <br /> construction or interpretation hereof. <br /> IN WITNESS WHEREOF, the Parties hereto have caused these presents to be executed, <br /> by their respective officers thereunto duly authorized, on the Day, month and year first <br /> above written. <br /> 30 <br />
