"Demarcation Point" means a point at or about eighteen (18) inches <br /> outside of where IRC's connective device enter LICENSEE's Property, or <br /> any part thereof, or LICENSEE's Premises, or any part thereof, and it <br /> defines point where issues of ownership and maintenance begin and end <br /> for the Parties. The Demarcation Points are identified on Exhibit A as <br /> incorporated herein. <br /> "Early Termination Date" means the Day on which the termination of the <br /> Term hereof becomes effective due to a termination for cause or due to an <br /> early termination for convenience as described in Article 3 of this <br /> Agreement. <br /> "End Point" means the beginning or termination point for a Licensed Fibers <br /> Route. <br /> "Expiration Date" means the Day on which the Term hereof expires. <br /> "Extension Term" shall have the meaning set forth in Section 3.3 hereof. <br /> "Fiber" means an individual optical fiber contained within a Fiber Optic <br /> Cable. <br /> "Fiber Acceptance Date" means the Day on which the Licensed Fibers of <br /> a specified Licensed Fibers Route are accepted as operational and so <br /> indicated by LICENSEE's execution of the Notice of Acceptance, or are <br /> deemed accepted as operational (in accordance with Article 11) by <br /> LICENSEE in accordance with the Performance Specifications. <br /> "Fiber Optic Cable" means the packaging of one or more optical fibers into <br /> a larger cable for protection and convenience. <br /> "Fiber Notice" is the written notification from IRC to LICENSEE of the <br /> availability of the Licensed Fibers. <br /> "Fiber Notice Date" is the date that LICENSEE receives the Fiber Notice. <br /> "Fiber Optic System" is the Fiber Optic Cable, conduit, attachments, <br /> boxes, and related infrastructure owned, controlled or used by IRC and <br /> made available for licensing. <br /> "Fiber Span" is the distance of Fiber Optic Cable between splice housings <br /> or boxes. <br /> "Force Majeure" means the occurrence of any event that has, had or may <br /> have an adverse effect on the design, construction, installation, <br /> management, operation, testing, use or enjoyment of the <br /> 3 <br />
