91 -0 <br /> OT <br /> PROFESSIONAL SERVICES AGREEMENT <br /> This Professional Services Agreement("Agreement" or "Contract") is entered into as <br /> of this 25th day of March, 2010, by and between Indian River County, a political <br /> subdivision of the State of Florida ("County") and Hulett Environmental Services, LLC a <br /> Florida corporation ("Contractor"). <br /> BACKGROUND RECITALS <br /> A. In accordance with Indian River County's IFFY 2008/09 Neighborhood Stabilization <br /> Program ("NSP") Community Development Block Grant ("CDBG"), Grant Number 10 DB- <br /> 4X-1 0-40-01-F 13 ("CDBG Grant Agreement") the County issued Bid Number 2009047 for <br /> Neighborhood Stabilization Program CDBG Housing Acquisition Services, setting <br /> forth a response date of May 28, 2009. <br /> B. Pursuant to Bid Number 2009047, the County's CDBG Consultant reveiwed all of the bids <br /> submitted for Neighborhood Stabilization Pro-gram CDBG Housing Acquisition <br /> Services and recommended the firms that were the lowest most responsible and <br /> responsive bidders for the services included within Bid Number 2009047 to County staff. <br /> C. On September 8, 2009, the Indian River County Board of County Commissioners <br /> approved the recommendation to hire Contractor to provide the services set forth in Bid <br /> Number 2009047 and this Agreement. <br /> D. Contractor is willing and able to perform the services as set forth in this Agreement on the <br /> terms and conditions set forth below; and the County and the Contractor wish to enter into <br /> this Agreement for the services as set forth below. <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and <br /> sufficiency of which is hereby acknowledged, and intending to be legally bound hereby, the <br /> parties hereby agree as follows: <br /> 1. DESCRIPTION OF SERVICES, The services to be performed by Contractor pursuant <br /> to this Agreement, are as set forth in Exhibit "A" attached hereto and incorporated herein <br /> by this reference in its entirety ("Services"). <br /> 2. WORK ORDER AGREEMENT <br /> 2.1. All Services provided by the Contractor for the County shall be identified in Work <br /> Orders and performed in a timely, efficient, cost effective manner, and in accordance with <br /> the current professional standards of the applicable discipline. Work Orders shall include a <br /> description of services to be performed; a schedule of deliverables; and compensation to <br /> be paid with sufficient detail to identify all of the various elements of costs; a projected <br /> schedule for completion of the work to be performed by the Contractor <br /> 2.2. Whenever the term "Work Order" is used herein, it is intended to mean that formal <br /> document that is dated; serially numbered; and executed by both the County and the <br /> Contractor by which the County accepts Contractor's proposal for specific Services and <br /> Contractor indicates a willingness to perform such specific services for the terms and <br /> under the conditions specified in this Agreement.
