FIRST AMENDMENT TO <br />AGREEMENT FOR ANNUAL OPERATIONS OF THE.BIOSOLIDS <br />DEWATERING FACILITY, SLUDGE DEWATERING, AND HAULING <br />WITH SYNAGRO SOUTH, LLC <br />THIS AMENDMENT ("Amendment") to Agreement for Annual Operations of the <br />Biosolids Dewatering Facility, Sludge Dewatering, and Hauling (the "Agreement"), is made and <br />entered into as of this day of January, 2015, by and between Indian River County, Florida, a <br />political subdivision of the State of Florida (hereinafter the "County"), and Synagro South, LLC, <br />a Delaware limited liability company (hereinafter "Synagro"). <br />WHEREAS, the County and Synagro entered into the Agreement in February, 2010; and <br />WHEREAS, under the Agreement, Synagro was to operate the County's biosolids <br />dewatering facility and perforin the necessary sludge dewatering and hauling of such materials; <br />and <br />WHEREAS, the Agreement was for an initial term of twelve months, with the County <br />retaining the option to extend the Agreement for up to four additional twelve month terms; and <br />WHEREAS, in order to provide the County with sufficient time to evaluate the existing <br />operations and potential future operations and procurement options for these services and the <br />facility, it is necessary for the County to extend the Agreement for an additional twelve months; <br />and <br />WHEREAS, Synagro is willing to continue to operate the County's biosolids dewatering <br />facility and perform the necessary sludge dewatering and hauling of such materials over the next <br />twelve months under the terms and conditions set forth in the Agreement; - <br />NOW, THEREFORE, in consideration of the mutual undertakings herein, and other <br />good and valuable consideration, the parties agree as follows: <br />F-Worney 7m+Llez»elavre m Synagre South Ccvneccdoa <br />coma.
