AGREEMENT <br />THIS AGREEMENT (the "Agreement"), made as of the 1st day of March, <br />1987, by and between INDIAN RIVER COUNTY, a political subdivision of the <br />State of Florida, whose mailing address is 1840 25th Street, Vero Beach, - <br />Florida 32960 ("County"), and AMERICAN MEDICORP DEVELOPMENT CO., a <br />Delaware corporation, whose mailing address is 500 West Main Street, Post <br />Office Box 1438, Louisville, Kentucky 40201-1438 ("Amdeco"). <br />WITNESSETH: <br />WHEREAS, Amdeco obtained site plan approval from the Indian River <br />County Planning and Development Division on February 13, 1986, for the <br />construction of a medical office building on property located in Indian River <br />County, - a copy of said approved site plan being attached hereto as Exhibit A; <br />and <br />WHEREAS, the property upon which site plan approval was granted was <br />heavily forested with rare and valuable sand pine trees; and <br />WHEREAS, on February 7, 1986, the Indian River County Planning and <br />Development Division, pursuant to a tree survey prepared by agents of Amdeco, <br />a copy of which is attached hereto as Exhibit B, issued a Tree Removal and <br />Landclearing Permit permitting Amdeco to remove only those sand pines <br />designated on the approved site plan, said permit being attached hereto as <br />Exhibit C; and <br />WHEREAS, sometime prior to March 26, 1986, Amdeco, acting through a <br />contractor, Michigan Properties, Inc., hereinafter referred to as "Michigan," <br />removed all of the aforementioned protected sand pine trees located within the <br />area of development as depicted upon the approved site plan and removed all of <br />the sand pine trees located on the two (2) acres of adjacent property owned by <br />Amdeco, having a legal description of: <br />From the Southwest corner of Government Lot 2, Section 25, Township 30 <br />South, Range 38 East, Indian River County, Florida, run South 00 00130" <br />West, 89.45 feet; thence North 350 10146" East, 742.74 feet; thence North <br />V 15145" East, 49.46 feet to a point on the West right-of-way of U.S. <br />Highway 1; thence South 15° 30142f1 East, 578.17 feet along said right-of- <br />way to the beginning of a tangent curve concave Northeasterly and' having <br />a radius of 11,459.20 feet; thence run Southeasterly 320.76 feet along the <br />arc of said curve and said right-of-way through a central angle of V <br />3611411 to a point of intersection with the Southerly right-of-way of Bay <br />Street as recorded in Official Record Book 430, Page 732, Public Records <br />of Indian River County, Florida; thenc&'South 73° 1910711 West, 295.81 feet <br />along said Southerly right-of-way to the beginning of a tangent curve <br />concave Southeasterly and having a radius of 165.0 feet; thence run <br />Southeasterly 139.21 feet along the arc of said curve and said right-of- <br />way through a central angle of 48° 20130"; thence South 24° 5813711 West <br />along said right-of-way 354.93 feet to the point of beginning.
