AGREEMENT
<br />TH I S AGREEMENT, made this _19th day of April_ ,
<br />1988, by and between INDIAN �FTVER COUNI'V,- a political
<br />subdivision of the State of Florida, 1840 25th Street, Vero
<br />Beach, Florida 32960 (COUNTY), and INTERNATIONAL GOLF, INC.,
<br />whose address is 21 S.E. 10th Street, Deerfield Beach,
<br />Florida 33441-5305 (INTERNATIONAL)
<br />W I T N E S S E T H:
<br />THAT FOR AND IN CONSIDERATION of the mutual covenants
<br />and other promises contained in this agreement, the COUNTY
<br />and INTERNATIONAL agree as follows:
<br />1. INTERNATIONAL shall have the exclusive rights to recover
<br />golf balls from all water hazards of the Sandridge Golf
<br />Club, .5300 73rd -Street, Vero Beach, FL, which is owned or
<br />operated by the COUNTY, for a period of one year, beginning
<br />on April 20 , 1988 and ending on _ AQril 19
<br />19897 THe contract may be renewed annual-ly subiect to
<br />approval by the COUNTY.
<br />2. In return, INTERNATIONAL shall grant to the COUNTY a
<br />CREDIT in the amount of $3,000.00 to be used toward the
<br />purchase of any of INTERNATIONAL'S merchandise at its
<br />current prices. After the CREDIT has been used, the COUNTY
<br />will receive a 20% 20 day, net 30 day DISCOJJNT on
<br />INTERNATIONAL'S merchandise.
<br />3. INTERNATIONAL expressly understands and agrees that
<br />access to the Sandridge Golf Club golf course is for the
<br />limited purpose of golf ball recovery and does not
<br />constitute permission to utilize the golf course for other
<br />purposes. This agreement Is also non -assignable without the
<br />express written consent of the COUNTY.
<br />4. INTERNATIONAL is and shall be an independent contractor,
<br />responsible to all parties for all of its acts or omissions,
<br />and the COUNTY shall in no way be responsible for such acts
<br />or omissions. INTERNATIONAL shall. indemnify and hold the
<br />COUNTY harmless from and against all claims, liability,
<br />demands, damages, expenses, fees, fines, penalties, suits,
<br />proceedings, actions and costs of actions, including
<br />reasonable attorneys fees, of any kind or nature arising or
<br />In any way connected with the collection of golf balls from
<br />the Sandridge Golf Club water hazards by INTERNATIONAL or
<br />Its agents, servants, employees, customers, patrons, or
<br />Invitees, whether on the golf course or surrounding area, or
<br />resulting from injury to persons or property, or loss of
<br />Life as property of any kind or nature whatsoever sustained
<br />during the duration of INTERNATIONAL'S agreement with the
<br />COUNTY.
<br />5. INTERNATIONAL shall, at its own cost and expense,
<br />promptly procure and pay for and at all time maintain a
<br />policy or policies of insurance in a company or companies
<br />acceptable to the COUNTY, protecting and insuring the COUNTY
<br />against any and all of the foregoing with coverage limits of
<br />not less than $1,000,000.00 for bodily injury and property
<br />damage as a result of any single occurrence. The described
<br />policies of insurance and all renewals of those policies
<br />shall be delivered to and held by the COUNTY. The COUNTY
<br />may, at its option, accept a certificate of insurance in
<br />lieu of the policy.
