AUG <br />GOOK 77 Ff1 E 480 <br />County assumes control of the system and on the same day each <br />successive year thereafter. <br />4. The County shall hold the Corporation harmless in <br />all respects having to do with the operation of the sewer system <br />and the control of the land above described and shall not cause <br />any liens or encumbrances to be placed against the land or the <br />system without the consent of the Corporation. <br />5. During the term of the lease, the County shall pay <br />the ad valorem and personal property taxes on the leased property <br />and if the lease is cancelled as provided herein, the taxes shall <br />be prorated. <br />6. At any time during or at the end of the ten year <br />term of this lease, the County shall have the option to purchase <br />the entire system and the land upon which it is .located upon 30 <br />day written notice to the Corporation of its intention to <br />purchase. At the time of purchase, the sewer system shall be <br />determined to have no monetary value and the purchase price <br />established will be the fair market value of the land at its <br />highest and best use, without deduction for the cost of removal <br />of the sewer plant or system. The value of the land for the <br />purchase by the County shall be determined by an appraisal done' <br />by an approved appraiser acceptable to both parties. If there is <br />a dispute concerning the appraisal the parties shall select a <br />second appraiser and average the results of the two appraisals. <br />The purchase price shall be in cash at time of closing. If <br />during or at the end of the ten year term, the County has not <br />notified the Corporation at least 30 days prior to the end of the <br />lease that it intends to exercise its option, the lease will <br />terminate and the County will remove the system from the land <br />unless the Corporation notifies the County in writing that.the <br />system shall remain on the land. <br />9 <br />7. Under a previous written agreement, -the County is <br />acting as agent on behalf of the Corporation for the•purpose of <br />billing the sewer customers, however, upon execution of this <br />38 <br />
