Original <br />AGREEMENT TO PURCHASE AND SELL REAL ESTATE <br />BETWEEN INDIAN RIVER COUNTY <br />AND <br />THREE DOGS & A HORSE, LLC AND THE AUDREY GRAVES SEXTON <br />TRUST <br />THIS AGREEMENT TO PURCHASE AND SELL REAL ESTATE ("Agreement") is <br />made and entered into as of the day of July, 2014, by and between Indian River <br />County, a political subdivision of the State of Florida ("the County"), and Three Dogs & A <br />Horse, LLC, and the Audrey Graves Sexton Trust U/A/D May 31, 2005, who agree as <br />follows: <br />WHEREAS, Three Dogs & A Horse, LLC (Three Dogs) owns an 11.98 acre parcel of <br />property located at the corner of 66th Avenue and 9th Street SW, Vero Beach, Florida. An <br />aerial photo of the property is attached to this agreement as Exhibit "A" and incorporated <br />by reference herein; and <br />WHEREAS, the Audrey Graves Sexton Trust U/A/D May 31, 2005 (the Trust) owns <br />a 5.0 acre parcel of property located on 66th Avenue south of 9th Street, SW Vero Beach, <br />Florida. An aerial photo of the property is attached to this agreement as Exhibit "B" and <br />incorporated by reference herein; and <br />WHEREAS, Audrey Graves Sexton is the sole managing members of Three Dogs & <br />a Horse, LLC and she is also the Trustee of the Audrey Graves Sexton Trust U/A/D May <br />31, 2005; and <br />WHEREAS, Three Dogs has submitted a site plan application to the County to <br />construct a building on Three Dog's property. As a condition of site plan approval, Three <br />Dogs has agreed to dedicate, without compensation, a 5,758.78 square foot portion of its <br />property to the County to be used as right-of-way as required by County Code; and <br />WHEREAS, the County is scheduled to expand 66th Avenue and 9th Street SW in <br />the future and the road expansion will impact both the Three Dogs and the Trust <br />properties; and <br />WHEREAS, in order for the County to proceed with its road expansion plans, the <br />County needs to purchase property to be used as right-of-way from Three Dogs and the <br />Trust; and <br />WHEREAS, after negotiations with the County, Three Dogs and the Trust and has <br />agreed to sell to the County the needed right-of-way of approximately 68,815.20 square <br />feet or 1.58 acres of property as depicted on Exhibit"C" (the ROW Property) as the ROW <br />property extends upon both Three Dogs and the Trust Properties.
