Assignment of IRC Jail Phase III Contract from Robert F. <br />Wilson, Inc. to Sovran Construction Company, Inc. <br />The Board reviewed the following memo dated 7/24/90: <br />TO: Board of County Commissioners <br />THRU: Charles P. Vitunac - County Attorney aa�� <br />FROM: Terrence P. O'Brien, Assistant County Attorneyltlw <br />DATE: July 24, 1990 <br />SUBJECT: ASSIGNMENT OF IRC JAIL PHASE III CONTRACT FROM <br />ROBERT F. WILSON, INC. TO SOVRAN CONSTRUCTION <br />COMPANY, INC. <br />Sovran and Wilson are wholly-owned subsidiaries of Yonkers <br />Contracting Company. In January 1990, Sovran was <br />incorporated and the officers of Wilson became the officers <br />of Sovran. Management decided to operate with a company not <br />identified with an individual (Robert F. Wilson). Insurance <br />and bonding runs to both Sovran and Wilson, and the assets <br />of Wilson have been transferred to Sovran. Documentation <br />from Sovran is attached.. <br />The corporate change has, In effect, brought about an <br />assignment. The contract (IRC Jail Phase III) between the <br />County and Wilson requires that any assignment of the <br />contract by Wilson be approved by the County. In order to <br />recognize, this corporate change and the resulting <br />assignment, the County should approve the assignment of its <br />contract from Wilson to Sovran. <br />In view of the foregoing, it Is recommended that the County <br />_ approve the assignment from Wilson to Sovran and authorize <br />the Chairman to execute any necessary documents to <br />accomplish this assignment. <br />12 <br />
