-7 <br /> FIRST AMENDMENT TO CONTINUING CONTRACT <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> This First Amendment to Continuing Contract Agreement for Professional Services ("First <br /> Amendment") is entered into effective as of September 18, 2007, by and between INDIAN RIVER <br /> COUNTY, a political subdivision of the State of Florida, 1801 27'h Street, Vero Beach, FL 32960 <br /> ("County") and STARMER RANALDI PLANNING AND ARCHITECTURE INC., a corporation existing <br /> under the laws of the State of Florida ("Consultant"). <br /> BACKGROUND RECITALS <br /> A. Effective October 19, 2004, the County and the Consultant entered into the Continuing <br /> Contract Agreement for Professional Services ("Agreement"). <br /> B. The County and the Consultant desire to amend the Agreement by adding a new paragraph <br /> 4.3, in accordance with the provisions of the Agreement, as set forth in this First Amendment. <br /> NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which <br /> is hereby acknowledged, the parties hereto, intending to be legally bound, covenant and agree to <br /> amend the Agreement as follows: <br /> (1) The Background Recitals are true and correct and form a material part of this First <br /> Amendment; <br /> (2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the <br /> Agreement as follows: <br /> 4.3 Pursuant to the terms of this Agreement, the County hereby extends the Initial Term of this <br /> Agreement for a maximum term of three (3) years ("Extension Term"). The Extension Term shall <br /> commence as of September 18, 2007, subject to a sooner termination in accordance with the terms of <br /> this Agreement, and shall end on September 17, 2010. The County and the Consultant agree to <br /> waive the Agreement provision of ninety (90) days prior notice of intent to extend the Agreement. <br /> (3) All terms and conditions of the Agreement not amended herein remain in full force and effect <br /> IN WITNESS WHEREOF, the County and the Consultant have caused this First Amendment <br /> to be signed by their respective duly authorized officers as of the day and year first stated above. <br /> STARMER RANALDI PLANNING AND INDIAN RIVER COUNTY, FLORIDA <br /> ARCHI CTURE INC.
