<br />INDIAN RIVER COUNTY, FLORIDA

<br />KNOW ALL MEN BY THESE PRESENTS, that TROY D. PINNER and DENA K. PINNER,
<br />husband and wife, whose mailing address is 3615 59t1' Avenue, Vero Beach, Florida 32966,
<br />and HARMONY RESERVE, LLC, a Florida limited liability company, whose mailing address
<br />is 3880 3911 Square, Vero Beach, Florida 32960 hereinafter called GRANTORS, in
<br />consideration of value received, the receipt and sufficiency of which is hereby acknowledged,
<br />have and do hereby grant, bargain, sell, transfer, and deliver unto INDIAN RIVER COUNTY, a
<br />political subdivision of the State of Florida, whose m iling address I 801 27th Street, Vero
<br />Beach, FL 32960, hereinafter called GRANTEE, this l� day of V �_, 2016, the
<br />following goods and chattels:
<br />EXHIBIT "A"ATTACHED HERETO AND MADE A PART HEREOF
<br />which utility facilities are located in that certain Easement recorded in Bookag5O, Page 149� of
<br />the Public Records of Indian River County, Florida.
<br />TO HAVE AND TO HOLD the same unto GRANTEE forever, and Harmony Reserve, LLC
<br />hereby warrants to the GRANTEE that it has free and unencumbered title to the above-
<br />described facilities, that all persons or entities which have supplied labor or materials with
<br />respect to these facilities have been paid in full, that none of them has any claim whatsoever
<br />with respect thereto, and that the GRANTORS have full authority to make this conveyance and
<br />Harmony Reserve, LLC warrants and defends the sale of said chattels and utility facilities
<br />hereby made unto GRANTEE against the lawful claims and demands of all persons
<br />whomsoever.
<br />Harmony Reserve, LLC agrees to maintain and repair said utility facilities until such time as the
<br />utility services for either Harmony Reserve PD — Phase 1A and/or Harmony Reserve PD —
<br />Phase 1 B are ready to be activated, which includes that all the construction, installation,
<br />inspections, and testing are satisfactorily accomplished, including releases and approved as-
<br />builts, and project engineer's certification letter submitted to Indian River County as required
<br />under UCP #3235. Harmony Reserve, LLC agrees to post, at the time of activation and
<br />acceptance by Indian River County, the required security covering all the utility facilities under
<br />UCP #3235 to warranty for a period of one year the utility facilities from defective materials or
<br />workmanship. Harmony Reserve, LLC also agrees at the start of the 1 -year warranty period to
<br />assign all its right, title, and interest in and to manufacturer's or supplier's warranties with
<br />respect to the utility facilities under UCP #3235.
