PURCHASE AGREEMENT <br /> BETWEEN Kannact, Inc., carrying on business at 2211 N.W. Professional Drive <br /> Suite 100, Corvallis, Oregon — 97330 (Hereinafter referred to as the "Supplier") <br /> AND Indian River County Board of County Commissioners, a political subdivision of <br /> the State of Florida carrying on business at 1800 27th Street, Vero Beach, FL 32960 <br /> (Hereinafter referred to as the "Customer") <br /> In consideration of the mutual covenants contained in this Agreement, the <br /> parties agree as follows: <br /> 1. Background <br /> a. The Supplier is a technology company engaged in the business of <br /> creating and selling various medical solutions including software <br /> products and services as set forth in Appendix A (the "Supplier's <br /> Solutions") in the United;States of America and wishes to sell the <br /> Supplier's Solution to the Customer. <br /> b. During the Term of the Purchase Agreement, the Customer is <br /> responsible for meeting the plan detailed in the Purchase <br /> Agreement and for payment to the Supplier for Supplier's <br /> Solution. <br /> 2. Obligations and Rights of the Supplier <br /> a. The Supplier will do the following, all at its expense: <br /> I. Provide explanatory material to the Customer relating to the Supplier's <br /> Solutions in a format acceptable to the Customer, as may be revised from <br /> time to time; and <br /> II. Provide training on the Supplier's products, goals, standards, or any other <br /> issues relevant to carrying out the use of the Supplier's Solutions, to the <br /> Customer. <br /> FINAL 2.4 AUGUST 3RD 2016 1 <br />
