7. Restricted Conduct <br /> Violation of HIPAA Regulations: The Supplier shall not pursue any <br /> course of action in selling, consulting, or pursuing any other <br /> business activities that would violate patient privacy laws and <br /> specifically current HIPAA regulations. <br /> s. Representations and Warranties <br /> a. The Customer hereby represents and warrants to the Supplier as follows: <br /> i. The Customer has all of the requisite corporate power and <br /> authority to enter into this Purchase Agreement and to carry <br /> out and perform its obligations under the terms of this <br /> Purchase Agreement. <br /> ii. The execution, delivery, and performance of and compliance <br /> with this P u r c h a s e Agreement does not and will not <br /> conflict with, or constitute a default under any contract, <br /> agreement, instrument, order, statute, laws, rule, or <br /> regulation applicable to the Customer. <br /> b. The Supplier hereby represents and warrants to the Customer as follows: <br /> i. The Supplier is a duly organized corporation, validly <br /> existing and in good standing under the laws of the State <br /> of Oregon. <br /> ii. The Supplier has all of the requisite corporate power and <br /> authority to enter into this Purchase Agreement and to <br /> carry out and perform its obligations under the terms of <br /> this Purchase Agreement. <br /> iii. The execution, delivery, and performance of and <br /> compliance with this Purchase Agreement does not, and <br /> will not conflict with or constitute a default under any <br /> contract, agreement, instrument, order, statute, laws, <br /> rule, or regulation applicable to the Supplier. <br /> FINAL 2.4 AUGUST 3RD 2016 5 <br />
