DocuSign Envelope ID: F55D53B1-DD62-4BE2-ACAA-B75FA841FA3B <br />ORICINAL <br />AGREEMENT TO PURCHASE, SELL, AND LEASE REAL ESTATE <br />BETWEEN INDIAN RIVER COUNTY <br />AND <br />VENTURES TRUST 2013 -I -H -R BY MCM CAPITAL PARTNERS, LLC <br />THIS AGREEMENT TO PURCHASE AND SELL REAL ESTATE ("Agreement") is <br />made and entered into as of the... day of /a 7'' , 2016, by and between Indian <br />River County, a political subdivision of the State of Florida ("the County"), and Ventures <br />Trust 2013 -I -H -R By MCM Capital Partners, LLC its trustee ("the Seller) who agree as <br />follows: <br />WHEREAS, Seller owns property located at 1313 43rd Avenue, Vero Beach, Florida <br />32960. A legal description of the property is attached to this agreement as Exhibit "A" and <br />incorporated by reference herein; and <br />WHEREAS, the County is acquiring the property for a storm water retention and/or <br />ROW for 43rd Avenue road improvements <br />WHEREAS, in order for the County to proceed with the storm water retention and/or <br />road improvement plans, the County needs to purchase property to be used as right-of- <br />way; and <br />WHEREAS, the County was contacted by the Seller's realtor, Magdalena (Maggie) <br />Zych of Alta Realty Company to purchase right-of-way of approximately 3.73 acres of <br />property as depicted on Exhibit "A", and <br />WHEREAS, the County is currently purchasing property/right-of-way from willing <br />sellers; and <br />WHEREAS, Seller and the County by entering into this agreement for sale and <br />purchase of the Property; <br />NOW, THEREFORE, in consideration of the mutual terms, conditions, promises, <br />covenants and premises hereinafter, the COUNTY and SELLER agree as follows: <br />1. Recitals. The above recitals are affirmed as being true and correct and are <br />incorporated herein. <br />2. Agreement to Purchase and Sell. The Seller hereby agrees to sell to the County, <br />and the County hereby agrees to purchase from Seller, upon the terms and conditions set <br />forth in this Agreement that certain parcel of real property located at 1313 43rd Avenue, <br />Vero Beach, Florida and more specifically described in the legal description attached as <br />Exhibit "A", fee simple, containing approximately 3.73 acres, all improvements thereon, <br />together with all easements, rights and uses now or hereafter belonging thereto <br />(collectively, the "Property"). <br />F•\Engineering\Monique Filipiak\Ventures Trust\1RC Purchase Contract Ventures Trust 08.01 16.doc <br />
