FF- <br />the individual claims. He further recommended that Mr. Scurlock <br />not waste his money chasing after us, and the County not waste <br />their money chasing after him. But to that end, he would like to <br />make that recommendation a part of the settlement package because <br />we don't want to have an indemnification clause left pending <br />against Commissioner Scurlock. You don't want him coming in at a <br />later time and asking you to pay his attorney's fees. That would <br />incur more attorney's fees for the County in prosecuting that <br />matter, as well as potential attorney's fees in defending the <br />matter. <br />Chairman Eggert understood we're saying to Guettler, and <br />therefore to Mr. Scurlock, that we will release his indemnity <br />clause or whatever it is, in exchange for his not pursuing any <br />legal fees from us. <br />Attorney Reynolds stated that Guettler has no basis for <br />attorney's fees from us. <br />Commissioner Bird asked if that can be a separate issue and <br />not part of the vote. <br />Attorney Reynolds advised that it can be a separate issue, but <br />his recommendation to the Board is that we ought to take care of <br />everything now and be in a position to settle it or not settle it. <br />The latest indications from Guettler and Prince is that they are <br />close and should be able to close this out, which is why we were <br />given the time frame. Attorney Reynolds repeated that his advice <br />is to close this out, cut the bleeding, and stop the attorney's <br />fees from all sides before we get into the trial mode. <br />Chairman Eggert understood then that either we hold the <br />indemnity claim against Mr. Scurlock or we release it in exchange <br />for not paying him for any legal fees and his not claiming any <br />legal fees from us. <br />Attorney Collins felt that is what it boils down to. Attorney <br />Reynolds is here asking for the Board to authorize the signature of <br />this letter to settle the case with Smith and Prince, and he'll <br />18 <br />
